Terms and Conditions

You must be at least 18 years old and able to enter into a legally binding contract to use our services.

You agree to provide accurate, current, and complete information at all times.

You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account.

We operate an online business directory and marketing platform that allows businesses to create, manage, and promote listings. We do not own, control, or operate the businesses listed on our platform.

Each listed business is solely responsible for its own products, services, statements, conduct, pricing, customer service, and legal compliance.

By submitting information, images, logos, text, videos, graphics, or other materials to our platform, you represent and warrant that you own all necessary rights or have obtained all necessary permissions to use and authorize our use of such materials.

You grant YPCA LLC a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, display, publish, distribute, modify for formatting purposes, promote, and otherwise use your submitted content in connection with your listing, marketing, and platform operations.

You remain solely responsible for the accuracy, legality, and ownership of all materials you submit.

You agree that the information you provide for your business listing, including your name, address, and phone number ("NAP"), must be accurate, consistent, and verifiable.

We may review, verify, approve, reject, modify, suspend, or remove any listing at our discretion to maintain directory quality and consistency.

After a listing is approved and published, any request to change the business name, DBA, or phone number may be subject to additional verification, including review of public records, online citations, or other reasonable evidence of consistency and legitimacy. We may refuse changes that we reasonably determine would create inconsistency, confusion, fraud risk, or verification issues.

We may offer free trials, promotional offers, monthly plans, annual plans, or other subscription-based services.

If you enroll in a free trial, you authorize us to begin billing your selected paid plan automatically when the free trial ends unless you cancel before the trial expiration. You may cancel a free trial through your dashboard or by contacting our support team at least 24 hours before the trial ends.

For active subscriptions, you may cancel through your dashboard or by emailing our support team at least 30 days before your next billing date, unless a different cancellation method is clearly disclosed at checkout.

You authorize YPCA LLC and its payment processor to charge your selected payment method for all applicable fees, recurring charges, taxes, and other amounts due under your plan.

If a payment fails, is reversed, or is otherwise not successfully collected, you remain responsible for the outstanding balance. We may suspend, limit, or remove access to your listing or account until all unpaid amounts are paid in full.

Any unpaid invoice or overdue balance may incur a late fee of $10 per month or the maximum amount allowed by applicable law, whichever is more.

If a balance remains outstanding for more than 3 months, we may mark the account as delinquent or red-flagged, suspend the listing, restrict account access, and take additional collection steps permitted by law.

Delinquent balances remain due and payable even if the listing is suspended, removed, or the account is closed.

All fees and charges are final and non-refundable to the fullest extent permitted by law. Because our services are digital marketing and directory services, the service is considered delivered once a business listing is published, activated, or otherwise made available on the platform.

Cancellation only stops future billing and does not waive any unpaid or previously incurred charges.

1. If you cancel a paid subscription, your listing may remain active until the end of the then-current billing period unless otherwise stated in your plan.
2. If you fail to cancel within the required timeframe, the renewal charge may still apply.
3. Any cancellation must be made through the dashboard or by contacting support, and you are responsible for making sure the cancellation request is received and processed on time.

Before initiating a chargeback or payment dispute, you agree to contact us in good faith so we may attempt to resolve the issue.

If a chargeback or dispute is filed, we may provide supporting documentation to the bank, card network, payment processor, or other parties, including account records, billing records, listing activity, communications, acceptance logs, and proof of service delivery.

You agree that you will not submit false, misleading, defamatory, unlawful, obscene, infringing, fraudulent, or deceptive content.

You are solely responsible for all claims made in your listing and for keeping your business information current.

You are responsible for all legal and regulatory obligations related to your business, including licensing, advertising rules, and consumer protection laws that may apply to your industry.

You may not use our platform to:

1. Impersonate another person or business.
2. Upload malware, spyware, or harmful code.
3. Use bots, scrapers, crawlers, or automated tools without permission.
4. Violate intellectual property rights.
5. Engage in fraud, deception, or illegal conduct.
6. Interfere with the security or operation of the platform.
7. Misrepresent business ownership, affiliation, location, or services.

YPCA LLC may remove content, suspend accounts, or terminate access for any violation of these Terms.

All website design, branding, text, graphics, software, and other platform materials owned by YPCA LLC or its licensors are protected by intellectual property laws and may not be copied, modified, distributed, or exploited without our prior written consent.

Except for the license you grant us for your submitted content, no rights are transferred to you under these Terms.

We do not guarantee leads, traffic, search ranking, impressions, calls, revenue, sales, customer conversions, or any other business outcome.

Results depend on many factors outside our control, including market conditions, competition, seasonality, pricing, location, business reputation, and customer demand. Our services are promotional tools only and do not constitute a promise of performance.

Our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the platform will be uninterrupted, secure, error-free, or free from defects.

To the fullest extent permitted by law, YPCA LLC and its officers, directors, employees, contractors, agents, and affiliates will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to your use of the services.

Our total aggregate liability for any claim relating to the services will not exceed the amount you paid to us in the one month preceding the event giving rise to the claim, unless applicable law requires otherwise.

You agree to indemnify, defend, and hold harmless YPCA LLC and its officers, directors, employees, contractors, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

1. Your listing content or business operations
2. Your violation of these Terms
3. Your violation of any applicable law
4. Your infringement of any third-party rights

We may update these Terms at any time by posting the revised version on our website. The updated Terms will become effective when posted unless a later effective date is stated.

Your continued use of the platform after any update means you accept the revised Terms.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules, unless a different governing law is required for a specific state-specific supplement or by applicable law.

Any dispute arising from or related to these Terms or the services will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, unless otherwise required by applicable law.
